Terms of Service

These Terms of Service ("Terms") are an agreement between you and Grow Bonzai LLC, doing business as Designer Edge ("Designer Edge," "we," or "us"). They govern your use of the Designer Edge platform, websites, and related services (the "Services").

By creating an account or using the Services, you agree to these Terms. If you're using the Services for a business, you agree on that business's behalf and confirm you're authorized to do so. If you don't agree, don't use the Services.

Our Privacy Policy explains how we handle personal information and is part of these Terms.

1. Who can use the Services

You must be at least 18 years old and able to form a binding contract. The Services are professional tools intended for interior designers and their businesses.

2. Your account

You're responsible for the information you provide, for keeping your login credentials secure, and for everything that happens under your account. Tell us promptly at support@designeredge.co if you suspect unauthorized use. Keep your account details accurate and up to date.

3. Your right to use the Services

As long as you follow these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your business. We may release updates, add or remove features, and set reasonable limits on use.

4. Your content and your clients' data

You own your content. The projects, images, files, client information, and other material you put into or create with the Services ("Your Content") remain yours. We don't claim ownership of it.

You give us permission to run the Services. You grant us a limited license to host, store, process, display, and transmit Your Content, including via our service providers, solely to provide and improve the Services and to do what you ask the Services to do (for example, generating a summary, sharing a client portal, or creating a Meet link).

You're responsible for Your Content. You represent that you have the rights and permissions needed to use it, and that it doesn't infringe anyone's rights or break the law.

Your clients' data. When you put your clients' information into the Services, you act as its controller and we act as your processor, as described in our Privacy Policy and any Data Processing Addendum (available on request). You're responsible for having a lawful basis to collect and use that information, for giving your clients any required notices and obtaining any required consents, and for honoring their privacy requests. We'll give you reasonable help with this.

5. AI features — read this

Some features use artificial intelligence to generate drafts such as design concepts, meeting summaries, product suggestions, and fit assessments. These are powerful, but they are assistive tools, not professional advice, and they are not guaranteed to be accurate or complete.

  • You remain the professional. Outputs are starting points for your judgment. You're responsible for reviewing, verifying, and deciding what to use, exactly as you would with any draft prepared by an assistant.
  • AI outputs may contain errors, omissions, or content that doesn't fit a given room, budget, or client. Product information, dimensions, availability, and pricing pulled from third parties are provided on a best-effort basis and should be confirmed before you rely on them.
  • Designer Edge is not a licensed architect, engineer, or contractor, and nothing in the Services is a substitute for professional or code-compliance review.

6. Documents and templates

The Services provide document templates and starting language — including proposals, letters of agreement, invoices, and similar business documents — to help you run your practice. These are starting templates, not legal advice.

  • We are not a law firm and do not provide legal, accounting, or tax advice or services. Using the Services does not create an attorney–client relationship, and no template or pre-filled content is a substitute for advice from your own attorney.
  • Template language and any pre-filled defaults are general examples that may not fit your business, your client, your project, or the laws of your state. You are solely responsible for reviewing, editing, completing, and finalizing any document before you send or sign it, and we strongly recommend having your own attorney review it first.
  • Any document you create with the Services is an agreement between you and your client. Designer Edge is not a party to it, does not draft or endorse its terms, and has no responsibility or liability for it or for how it is used.
  • You are responsible for the accuracy and legality of the documents you produce and for meeting any licensing, disclosure, or contracting requirements that apply to you.

7. Acceptable use

You agree not to:

  • use the Services to break the law or infringe anyone's rights;
  • upload malicious code, or attempt to disrupt, probe, or gain unauthorized access to the Services;
  • reverse engineer, scrape, or resell the Services except as the law expressly permits;
  • use the Services to store or send content that is unlawful, harmful, or violates someone's privacy;
  • misuse AI features to generate unlawful, deceptive, or infringing material.

We may suspend or limit access if we reasonably believe your use threatens the Services or others.

8. Third-party services and integrations

The Services may connect to third-party services you choose to enable, such as Google Calendar, Google Meet, and QuickBooks Online. Your use of those services is governed by their own terms and privacy policies. We're not responsible for third-party services, and we don't control them. Enabling or disabling an integration is your choice.

9. Plans, billing, and cancellation

Designer Edge is offered with a free trial, after which it continues on a paid subscription. Our base plan is $79 per month, plus any applicable taxes. We may offer additional plans or pricing, which we'll show you before you subscribe.

Free trial. You can use the Services free during your trial period. We'll ask for a payment method so your subscription can continue afterward. If you don't cancel before the trial ends, your paid subscription begins automatically.

Billing. Your first charge is made when your free trial ends, and your subscription then renews automatically each month on that same date until you cancel. We bill through our payment processor, Stripe, and by subscribing you authorize us to charge your payment method on a recurring monthly basis. Fees are exclusive of taxes unless stated otherwise.

Cancellation. You can cancel anytime from your account settings. When you cancel, you keep access through the end of your current paid month, and you won't be charged for the following month. Except where required by law, we don't provide refunds or credits for the current month or for partial periods.

Price changes. We may change our pricing on a going-forward basis. We'll give you reasonable advance notice, and any change takes effect on your next billing cycle.

Non-payment. If a payment fails, we may retry it, and we may suspend or end your access if it remains unpaid.

10. Our intellectual property

The Services — including the software, design, and content we provide (but not Your Content) — are owned by Designer Edge and our licensors and are protected by law. These Terms don't transfer any of our intellectual property to you beyond the limited right to use the Services. If you send us feedback or suggestions, we may use them without obligation to you.

11. Term and termination

You can stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, or if we reasonably need to for legal, security, or operational reasons.

When your account ends, your right to use the Services stops. We'll make Your Content available for export for 30 days after termination and then delete it as described in our Privacy Policy, unless the law requires us to keep certain records. Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

12. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Services will be uninterrupted, error-free, or secure, or that AI outputs or third-party data will be accurate or complete. You use the Services at your own discretion and risk. Some jurisdictions don't allow certain disclaimers, so some of this may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Designer Edge and its owners, members, and suppliers won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Services. Our total liability for any claim relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months before the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions don't allow certain limitations, so some of this may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Designer Edge from claims, damages, and reasonable costs (including legal fees) arising out of Your Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right, including your obligations to your own clients.

15. Governing law and disputes

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. Before filing any formal claim, you agree to contact us at support@designeredge.co and attempt to resolve the matter informally for at least 30 days. Any dispute that isn't resolved will be brought in the state or federal courts located in Maryland, and you and we consent to their jurisdiction.

16. Changes

We may update these Terms or the Services. We'll change the "Last updated" date above and, for material changes, give reasonable notice. If you keep using the Services after a change takes effect, you accept the updated Terms.

17. General

These Terms, together with the Privacy Policy and any order or addendum, are the entire agreement between you and us about the Services. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We're not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be sent to your account email; notices to us go to the address below.
